UNDERTAKING OF CONFIDENTIALITY

Please Note: It is of course in your best interests to safeguard the confidentiality of your Idea. By telling third parties about your Idea, disclosing details as to how it might work, you risk losing your rights to the legal protection of your Intellectual Property whether by patent or otherwise.

This Confidentiality Undertaking is given by Wireless-Stuff Ltd t/a PITCHINDIA to any ENTREPRENEUR USERS of the PITCHINDIA WEBSITE that disclose their Pitch and business plan to PITCHINDIA's business analysts and screeners ("You").

1. In using PITCHINDIA's website You may disclose any Confidential Information you feel necessary to PITCHINDIA's analysts and employees. Confidential Information will include all data, whether submitted through the website or otherwise in writing, computer programs, manuals, business plans, software, marketing plans, financial information disclosed or submitted orally or in writing to PITCHINDIA by You.

2. PITCHINDIA agrees that the Confidential Information is to be considered confidential and proprietary to You. PITCHINDIA will not use the Confidential Information other than for the purposes of its business with You and will disclose it only to its officers, directors, employees or analysts with a specific need to know. PITCHINDIA will not disclose, publish or otherwise reveal any of the Confidential Information received from You to any other party unless You give specific prior authorization.

3. Confidential Information will not be duplicated by PITCHINDIA. Even if requested by You, PITCHINDIA will be under no obligation to return Confidential Information received in writing via the website.

4. The obligations of PITCHINDIA mentioned in this Agreement will be effective for a period of two years from the date You disclosed any Confidential Information to PITCHINDIA. The obligation not to disclose will not be affected by bankruptcy, receivership, assignment or seizure procedures whether initiated by or against PITCHINDIA.

5. You expressly understand and agree that PITCHINDIA's liability to You in all circumstances where PITCHINDIA is found to have breached the undertakings contained in this Agreement will be limited to any benefit in money or money's worth gained by PITCHINDIA as a result of its breach of this Agreement or negligence.
